JobWin Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Runx Inc. ("Runx," "JobWin," "we," "our," or "us") governing access to and use of JobWin, including websites, applications, APIs, integrations, and related services (collectively, the "Service").

By accessing, registering for, or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

1. Eligibility and Business Use

The Service is intended for business and professional use. You represent that you have authority to bind the business or organization you represent and that your use complies with applicable laws and third-party platform rules.

2. Key Definitions

• Account: the login profile used to access the Service.
• Workspace: the business environment and related configuration in JobWin.
• Customer Data: data submitted to the Service by you or on your behalf.
• Integration: a third-party platform connected to the Service.
• Authorized User: any person you allow to access your workspace.

3. Service Scope

JobWin is a lead and communication operating system for service businesses. Features may include lead ingestion, messaging workflows, scheduling, AI-assisted drafting, estimate support, reporting, and partner integrations.

We may add, remove, or change features over time. Some features may be experimental, region-limited, or dependent on third-party availability.

4. Accounts and Security

You must provide accurate information and keep credentials secure. You are responsible for all actions taken through your account and by your Authorized Users.

You must promptly notify us of unauthorized use or security incidents related to your account.

5. Workspace Administration

Workspace owners/admins can invite users, assign roles, configure settings, and control integrations. You are responsible for internal governance, role management, and restricting access to authorized personnel.

6. Third-Party Integrations and OAuth

By connecting an Integration, you authorize JobWin to access and process data made available by that Integration according to permissions/scopes you approve.

You represent that you have rights to connect each external account. We are not responsible for third-party outages, API changes, policy updates, account restrictions, or data provided by those third parties.

If third-party permissions are revoked or changed, affected workflows may be degraded, paused, or unavailable.

7. Customer Data and Licenses

You retain ownership of Customer Data. You grant us a non-exclusive, worldwide license to host, process, transmit, and use Customer Data solely to provide, secure, and improve the Service, including authorized integration operations.

You are responsible for the legality, quality, and accuracy of Customer Data you submit or cause to be submitted.

8. Communications Compliance

You are solely responsible for communications sent from your account, whether manual, scheduled, or automation-assisted. You must comply with all applicable communication, privacy, and consumer-protection laws, including consent and opt-out requirements for SMS, email, and similar channels.

You must maintain lawful contact lists and recipient permissions for all outreach.

9. AI-Assisted Features

The Service may provide AI-generated drafts, classifications, summaries, and recommendations. AI outputs may contain errors, omissions, or unsuitable suggestions. You remain responsible for review, approval, and final business decisions.

10. Fees, Billing, and Taxes

Certain features require paid plans, subscriptions, usage-based fees, or add-on charges. If billing is enabled, you authorize us and our payment providers to charge your payment method for applicable fees and taxes.

Unless otherwise stated, fees are non-refundable. You are responsible for taxes, duties, and governmental charges associated with your use.

11. Trials and Promotions

Trial or promotional offers may be subject to limits, eligibility criteria, and automatic conversion terms described at activation. We may modify or terminate such offers at any time.

12. Acceptable Use

You may not use the Service to:

• Violate law, regulation, or third-party terms/policies.
• Transmit unlawful, deceptive, harassing, infringing, or abusive content.
• Send spam, evade consent requirements, or bypass communication restrictions.
• Probe, attack, interfere with, or disrupt Service integrity or availability.
• Reverse engineer, copy, or exploit the Service beyond permitted use.
• Use the Service for competitive intelligence or unauthorized benchmarking.

13. Suspension and Termination

We may suspend or terminate access if we reasonably believe there is security risk, fraud, legal non-compliance, abuse, non-payment, or breach of these Terms.

You may stop using the Service at any time. Termination does not relieve you of payment obligations incurred before effective termination.

14. Intellectual Property

Except for your Customer Data, all rights in the Service, software, designs, content, trademarks, and branding belong to Runx Inc. or its licensors.

No rights are granted except as expressly set out in these Terms.

15. Feedback

If you provide feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without obligation to you.

16. Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and use it only for purposes related to these Terms, except where disclosure is required by law.

17. Availability and Support

We aim to provide reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, outages, and third-party dependency failures may affect availability.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNX INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU TO RUNX INC. IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.

20. Indemnification

You agree to defend, indemnify, and hold harmless Runx Inc. and its officers, directors, employees, and affiliates from claims, losses, liabilities, and costs arising from your use of the Service, your Customer Data, your communications, your integrations, or your violation of these Terms or law.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Unless otherwise required by law, disputes will be resolved in state or federal courts located in Cook County, Illinois, and each party consents to that jurisdiction and venue.

22. Export Controls and Sanctions

You may not use the Service in violation of U.S. export control or sanctions laws. You represent that you are not located in, or controlled by, sanctioned jurisdictions or prohibited parties.

23. Force Majeure

Neither party is liable for failure or delay caused by circumstances beyond reasonable control, including natural disasters, infrastructure failure, war, labor disputes, or internet/provider outages.

24. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with merger, acquisition, reorganization, or sale of assets.

25. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted with a revised "Last updated" date. Continued use after effective date constitutes acceptance of the updated Terms.

26. Entire Agreement

These Terms, together with our Privacy Policy and any additional written agreements explicitly incorporated by reference, constitute the entire agreement between you and Runx Inc. regarding the Service.
